TERMS OF SERVICE

These Terms of Service ("Terms") govern your access to and use of the TRGT® website, products, services, subscriptions, and related content available at www.taketrgt.com (the "Website").

Please read these Terms carefully before using the Website or purchasing any products. By accessing the Website or placing an order, you agree to be bound by these Terms. If you do not agree to these Terms, you should discontinue use of the Website.

 

1. DEFINITIONS

For purposes of these Terms:

"Company," "Performance Pouch," "we," "our," or "us" means Performance Pouch LLC, an Ohio limited liability company.

"TRGT" refers to the TRGT brand of dietary supplement products and related merchandise offered by Performance Pouch LLC.

"Website" means www.taketrgt.com and all associated webpages, mobile experiences, applications, features, content, and services operated by or on behalf of Performance Pouch LLC.

2. ACCEPTANCE OF THESE TERMS

These Terms constitute a legally binding agreement between you and Performance Pouch LLC.

By using the Website, creating an account, subscribing to communications, enrolling in recurring deliveries, or purchasing Products, you acknowledge that:

  • You agree to be legally bound by these Terms;

Availability of Products is not guaranteed.

Submission of an order does not constitute our acceptance of that order. All orders are subject to review and acceptance by Performance Pouch LLC.

We reserve the right, in our sole discretion, to:

  • refuse or cancel any order;
  • limit quantities purchased;
  • restrict sales to certain customers, geographic regions, or jurisdictions;
  • discontinue Products at any time;
  • correct pricing or product description errors prior to shipment.

If payment has already been processed for an order that is cancelled by us, we will issue a refund using the original payment method unless otherwise required by applicable law.

We reserve the right to request additional information to verify an order prior to acceptance.

 

9. PRICING, BILLING, AND PAYMENT

All prices displayed on the Website are listed in U.S. Dollars unless otherwise indicated.

Prices are subject to change without prior notice.

Applicable sales tax, shipping charges, and other required fees will be calculated during checkout.

Payment must be successfully authorized before an order is accepted.

By submitting payment information, you represent and warrant that:

  • you are authorized to use the payment method provided;
  • the payment information supplied is accurate and complete;
  • charges incurred by you will be honored by your financial institution.

Performance Pouch LLC reserves the right to refuse or cancel any order where fraudulent activity is suspected or where payment authorization cannot be obtained.

If we discover an obvious pricing error after an order has been placed, we reserve the right to cancel the order and issue a full refund before shipment.

 

10. SHIPPING, DELIVERY, AND RISK OF LOSS

Performance Pouch LLC currently ships to locations identified during the checkout process.

Estimated shipping dates are provided for convenience only and do not constitute guaranteed delivery dates.

Delivery may be delayed due to:

  • weather conditions;
  • carrier delays;
  • customs processing;
  • supply chain disruptions;
  • force majeure events;
  • circumstances beyond our reasonable control.

Risk of loss and title to Products transfers to you upon delivery of the Products to the shipping carrier, except where otherwise required by applicable law.

Customers are responsible for providing accurate shipping information.

Performance Pouch LLC is not responsible for:

  • packages delivered to an incorrect address provided by the customer;
  • delays caused by carriers;
  • lost or stolen packages confirmed as delivered;
  • customs duties or import taxes for international shipments.

If a shipment is returned due to an incorrect address, refusal of delivery, or failure to claim the package, additional shipping charges may apply before reshipment.

 

11. RETURNS, REFUNDS, AND EXCHANGES

Customer satisfaction is important to us.

Returns, refunds, and exchanges are governed by our separate Return Policy, which is incorporated into these Terms by reference.

Except where prohibited by law, Products may only be returned in accordance with the eligibility requirements described in the Return Policy.

Certain Products may not be eligible for return, including:

  • opened dietary supplements;
  • promotional items;
  • clearance merchandise;
  • gift cards;
  • products identified as final sale.

Approved refunds will generally be issued to the original method of payment.

Shipping charges are generally non-refundable unless required by law or where the return results from our error.

12. SUBSCRIPTION PROGRAMS

Certain Products may be offered through recurring subscription programs.

By enrolling in a subscription, you expressly authorize Performance Pouch LLC to charge your selected payment method automatically for each recurring shipment until your subscription is cancelled.

Subscription pricing, shipment frequency, and Product selection will be displayed during checkout.

Unless cancelled, subscriptions automatically renew according to the selected delivery schedule.

You may:

  • skip a shipment;
  • modify delivery frequency;
  • change Products;
  • update payment information;
  • pause your subscription;
  • cancel future renewals;

through your customer account or by contacting Customer Support before the applicable renewal date.

Cancellation becomes effective for future orders that have not already entered processing.

Orders that have already been processed for fulfillment may not be cancelled.

Performance Pouch LLC reserves the right to modify subscription pricing, available Products, or subscription benefits. Material changes will be communicated in advance where required by applicable law.

California residents acknowledge that this section is intended to comply with California's Automatic Renewal Law (Cal. Bus. & Prof. Code §17600 et seq.).

Consent to recurring billing is not required as a condition of purchasing Products outside the subscription program.

 

13. SMS COMMUNICATIONS

By voluntarily providing your mobile telephone number and affirmatively opting into our SMS messaging program, you consent to receive recurring text messages from or on behalf of Performance Pouch LLC.

Messages may include:

  • order confirmations;

  • subscription reminders;

We reserve the right to modify, suspend, or discontinue the SMS program at any time without liability, subject to applicable law.

14. INTELLECTUAL PROPERTY

All content made available through the Website, including but not limited to text, graphics, logos, trademarks, service marks, trade dress, product names, product packaging, images, videos, photographs, audio recordings, software, website design, icons, downloads, advertising materials, marketing content, blog articles, and other materials (collectively, the "Content"), is owned by or licensed to Performance Pouch LLC and is protected by United States and international intellectual property laws.

TRGT®, the TRGT logo, product names, slogans, and other brand identifiers are valuable intellectual property of Performance Pouch LLC or its licensors. Nothing contained within the Website grants you any ownership interest or license in our intellectual property except the limited right to use the Website for your personal, non-commercial purposes.

You may not, without our prior written consent:

  • reproduce, copy, distribute, publish, display, or transmit any Content;
  • modify or create derivative works from any Content;
  • use any trademark, logo, or branding in connection with another product or business;
  • reverse engineer, decompile, or attempt to extract source code from any portion of the Website;

Performance Pouch LLC reserves the right, but assumes no obligation, to review, edit, remove, refuse, or moderate User Content at its sole discretion.

We are not responsible for User Content submitted by customers or third parties.

22. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Performance Pouch LLC and its affiliates, officers, directors, employees, contractors, licensors, service providers, successors, and assigns from and against any claims, damages, liabilities, judgments, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

  • your breach of these Terms;
  • your misuse of the Website;
  • your violation of applicable law;
  • your infringement of another person's rights;
  • your submitted User Content.

Performance Pouch LLC reserves the right to assume exclusive control of the defense of any matter subject to indemnification, in which event you agree to cooperate fully with our defense.

 

23. FORCE MAJEURE

Performance Pouch LLC shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to:

  • natural disasters;
  • acts of God;
  • pandemics;
  • governmental actions;
  • labor disputes;
  • shortages of materials;
  • transportation interruptions;
  • cyberattacks;
  • utility failures;
  • internet outages;
  • supplier failures.

Performance obligations shall be suspended for the duration of such event.

 

24. DISPUTE RESOLUTION AND BINDING ARBITRATION

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

To promote the efficient resolution of disputes, you and Performance Pouch LLC agree to first attempt to resolve any dispute informally by contacting the other party.

If a dispute cannot be resolved informally within thirty (30) days, either party may submit the dispute to final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules.

The arbitration shall be governed by the Federal Arbitration Act.

Unless otherwise required by applicable law, arbitration shall take place in Cuyahoga County, Ohio, or remotely by agreement of the parties.

The arbitrator shall have exclusive authority to resolve disputes regarding the interpretation, enforceability, or applicability of this arbitration agreement.

Either party may elect to pursue an eligible claim in small claims court rather than arbitration.

 

25. CLASS ACTION WAIVER

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND PERFORMANCE POUCH LLC AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY.

NO CLAIM MAY BE BROUGHT AS:

  • A CLASS ACTION;
  • A COLLECTIVE ACTION;
  • A REPRESENTATIVE ACTION;
  • A PRIVATE ATTORNEY GENERAL ACTION.

The arbitrator shall have no authority to consolidate claims involving multiple individuals.

If this Class Action Waiver is found unenforceable, then the arbitration provisions shall apply only to the extent permitted by law.

 

26. GOVERNING LAW

These Terms and any dispute arising from or relating to the Website, Services, or Products shall be governed by the laws of the State of Ohio, without regard to conflict of law principles.

Subject to the arbitration provisions above, any legal proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Cuyahoga County, Ohio.

You consent to the personal jurisdiction of those courts.

 

27. ELECTRONIC COMMUNICATIONS

By using the Website, creating an account, or communicating electronically with Performance Pouch LLC, you consent to receive communications electronically, including notices, agreements, disclosures, receipts, and other communications.

Electronic communications satisfy any legal requirement that such communications be in writing.

 

28. SEVERABILITY

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, the remaining provisions shall remain in full force and effect.

The unenforceable provision shall be interpreted or modified to the minimum extent necessary to make it enforceable while preserving the original intent.

 

29. WAIVER

Failure by Performance Pouch LLC to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

Any waiver must be in writing and signed by an authorized representative of Performance Pouch LLC.

 

30. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, Return Policy, California Consumer Privacy Notice (where applicable), Cookie Policy, and any additional policies expressly incorporated by reference, constitute the entire agreement between you and Performance Pouch LLC regarding your use of the Website and purchase of Products.

These Terms supersede all prior or contemporaneous communications, representations, or agreements relating to the Website or Products.
